Please read these Terms of Service ("Terms") carefully before using the Sudso platform, including the web application at sudso.co and the Sudso mobile application (collectively, the "Service"), operated by Sudso ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. SMS Communications

SMS Consent: By providing a phone number and opting in to SMS notifications through Sudso, you consent to receive text messages from Sudso related to your account, including job reminders, schedule updates, and clock-in alerts. Message frequency varies. Message and data rates may apply.

4. Subscription and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law.

We reserve the right to change pricing at any time with reasonable notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

You retain ownership of any data, information, or content you submit to the Service ("Your Content"). The Service integrates with third-party services including Supabase, Twilio, Stripe, and others. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUDSO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Sudso and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service or violation of these Terms.

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after any changes constitutes your acceptance of the new Terms.
